Terms of Service

1.1 Licence Grant

Quant Aura grants you a limited, revocable, non-transferable, non-sublicensable, and non-exclusive licence to access and use the Platform strictly in accordance with these Terms and solely for lawful purposes related to the Services. Quant Aura may, at its sole discretion and without obligation to provide notice: • Modify or update Platform features, • Restrict access to specific functionalities, • Temporarily suspend or permanently discontinue any part of the Services.

1.2 Legal Eligibility and Compliance

By using the Platform, you represent and warrant that:

• All information you submit is accurate, complete, and kept up to date;
• You have reached the legal age required to enter into binding agreements in your jurisdiction;
• Your use of the Platform complies with all applicable local, national, and international laws and regulations;
• You are not accessing the Services from a jurisdiction where such access is restricted or prohibited.

1.3 Monitoring and Enforcement

Quant Aura may monitor, review, or investigate Platform activity to evaluate compliance with these Terms, but is not obligated to do so. Failure to detect violations does not constitute a waiver of enforcement rights. You remain solely responsible for interactions with third parties encountered through the Platform and for evaluating any information or offers presented.

1.4 Suspension and Termination

Quant Aura may restrict, suspend, or terminate your access to the Platform at any time, with or without notice, if:

• These Terms are violated;
• Fraudulent, abusive, or harmful conduct is suspected;
• Continued access poses legal, operational, or reputational risk.

Quant Aura shall not be liable for any losses, damages, claims, or disputes resulting from such actions.

1.5 Independent Third Parties

The Quant Aura Platform may display, reference, or provide access to third-party products, services, campaigns, or content ("Third-Party Providers"). You acknowledge and agree that Quant Aura:

• Does not endorse, verify, or control Third-Party Providers;
• Does not guarantee legality, accuracy, licensing status, or performance of third-party offerings;
• Is not a party to transactions or agreements between Users and third parties.

All decisions to engage with Third-Party Providers are made at your sole discretion and risk.

1.6 Limitation of Liability

You expressly release Quant Aura from liability arising from: • Reliance on third-party representations; • Financial, technical, or operational losses related to third-party services; • Disputes, defects, or failures involving external providers. Quant Aura functions solely as a digital access layer and does not sell, broker, or licence third-party products.

2.1 Prohibited Activities

You agree not to:

• Reverse engineer, decompile, extract, or replicate any Platform component;
• Use the Services for unlawful, deceptive, abusive, or harmful purposes;
• Bypass security mechanisms or access controls;
• Deploy bots, automation tools, exploits, or unauthorised scripts;
• Interfere with Platform performance or infrastructure;
• Access accounts, databases, or systems without authorisation;
• Misuse or collect personal data of other Users without lawful consent.

2.2 User-Submitted Content

If you submit or upload content, you represent that it:

• Is lawful, accurate, and non-misleading;
• Does not infringe intellectual property, privacy, or contractual rights;
• Contains no malware, malicious code, or harmful elements;
• Complies with applicable advertising, financial, and consumer protection laws.

2.3 Licence to Quant Aura

By submitting content, you grant Quant Aura a perpetual, worldwide, royalty-free, non-exclusive licence to use, store, reproduce, adapt, and display such content solely for Platform operation and improvement. Quant Aura may remove or restrict content at its discretion without compensation.

2.4 User Responsibility

You remain fully responsible for all content you submit. Quant Aura assumes no liability for user-generated material or resulting disputes.

4.1 Exclusive Ownership

All intellectual property rights associated with the Quant Aura Platform, including but not limited to its system architecture, user interfaces, source and object code, algorithms, models, enhancements, upgrades, workflows, trade dress, trademarks, service marks, logos, and branding elements, are and shall remain the exclusive property of Quant Aura or its licensors.

Nothing contained in these Terms shall be construed as granting Users any ownership interest, assignment, or transfer of proprietary rights. Any access granted is strictly limited to a revocable right to use the Platform in accordance with these Terms.

4.2 User-Generated Content

Any data, materials, files, text, or other content submitted, transmitted, or made available through the Platform ("User Content") remain under your responsibility. You represent and warrant that: • You possess all necessary rights, licences, and permissions to submit such content; • The content does not infringe upon copyrights, trademarks, trade secrets, privacy rights, or other proprietary or statutory rights of any third party. Quant Aura does not pre-screen, authenticate, or endorse User Content and assumes no responsibility for legal, regulatory, or commercial consequences arising from its submission or dissemination.

4.3 Indemnification

You agree to indemnify, defend, and hold harmless Quant Aura, its affiliates, officers, employees, contractors, and partners from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

• User Content you submit or distribute through the Platform;
• Alleged infringement of intellectual property or contractual rights;
• Violations of applicable laws, regulations, or third-party rights.

5.1 Restrictions on Data Collection

You agree not to collect, extract, scrape, copy, store, or otherwise process any information obtained through the Platform without Quant Aura's prior written authorisation. You acknowledge that Quant Aura may lawfully collect, process, and retain: • Information you voluntarily submit; • Usage data, system logs, and interaction metrics; • Publicly available information, where permitted by law; • Analytics reflecting engagement patterns, preferences, and Platform performance.

5.2 Data Processing Standards

All personal data processed by Quant Aura is handled in accordance with applicable data protection laws and the Quant Aura Privacy Policy. Quant Aura does not independently verify User Content. You remain solely responsible for ensuring that all submitted information is accurate, lawful, and properly authorised for use.

5.3 User Responsibility and Indemnification

Quant Aura shall not be liable for damages, losses, interruptions, or claims resulting from your failure to comply with data protection, confidentiality, or privacy obligations. You agree to indemnify Quant Aura against any claims or liabilities arising from:

• Improper data handling;
• Unauthorised disclosure or submission of information;
• Violations of data protection or privacy laws.

You further acknowledge that the Platform is not designed or intended to function as a secure repository for sensitive, confidential, or mission-critical information.

5.4 Content Availability and Visibility

Quant Aura does not guarantee continuous availability, preservation, or integrity of content uploaded to the Platform. Content may be modified, restricted, or removed at any time. You also understand that information you submit may become accessible to third parties, potentially resulting in external communications or unsolicited contact, for which Quant Aura bears no responsibility.

7.1 Unauthorised Commercial Use

Unless expressly authorised in writing by Quant Aura, the Platform may not be used to conduct independent commercial activities, transactions, or business operations that fall outside the intended scope, design, or approved functionality of the Quant Aura Platform. Any attempt to monetise access, redistribute services, or leverage Platform infrastructure for unapproved commercial gain constitutes a material breach of these Terms.

7.2 Solicitation and Promotion Restrictions

Users are strictly prohibited from advertising, marketing, promoting, or soliciting: • products or services, • business or investment opportunities, • affiliate or referral programmes, • employment or recruitment offers, through the Platform unless Quant Aura has provided explicit prior written consent permitting such conduct. Unauthorised promotional activity, whether direct or indirect, automated or manual, is deemed a violation of these Terms.

7.3 Unauthorised User Contact

You may not contact, message, or otherwise engage other Users for commercial, promotional, recruitment, or solicitation purposes without their explicit prior consent and without authorisation under these Terms. Any unsolicited outreach conducted via Platform tools, data, or visibility gained through Quant Aura shall be treated as prohibited conduct and may result in immediate enforcement action.

9.1 Platform Availability Disclaimer

Quant Aura applies commercially reasonable technical, administrative, and security measures to maintain Platform functionality, availability, and system integrity. However, no digital infrastructure is immune to disruptions, vulnerabilities, errors, delays, or unforeseen outages. Your access to and use of the Platform are undertaken entirely at your own risk. All Services and Platform components are provided on an "AS IS" and "AS AVAILABLE" basis.

9.2 Disclaimer of Warranties

To the maximum extent permitted by applicable law, Quant Aura expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of:

• merchantability,
• fitness for a particular purpose,
• accuracy, completeness, or timeliness,
• uninterrupted or error-free operation,
• security or freedom from harmful components,
• non-infringement of third-party rights.

No oral or written information, guidance, or statement provided by Quant Aura or its representatives shall be construed as creating any warranty.

9.3 No Professional or Advisory Services

Quant Aura does not provide investment, trading, financial, legal, tax, or professional advisory services. Any analysis, data, signals, tools, or information accessible through the Platform are provided for informational and technical purposes only. All decisions made based on Platform outputs are executed solely at your own discretion and risk. Quant Aura assumes no responsibility for outcomes resulting from such decisions.

9.4 Limitation of Liability

To the fullest extent permitted by applicable law, Quant Aura shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:

• loss of profits, revenue, data, or opportunities,
• system downtime or service interruptions,
• security breaches or unauthorised access,
• inaccuracies or omissions in Platform content,
• reliance on communications or materials provided by Quant Aura,
• interactions with third-party platforms, services, or providers.

Where certain jurisdictions do not allow the exclusion or limitation of specific warranties or liabilities, such limitations shall apply only to the extent legally permissible, without affecting the enforceability of the remaining provisions.

10.1 Platform Functionality and Third-Party Components

Quant Aura does not warrant, certify, endorse, or assume responsibility for the availability, performance, reliability, legality, accuracy, or suitability of any third-party tools, services, extensions, integrations, APIs, widgets, data feeds, or external functionalities that may be accessible through or referenced by the Platform ("Integrated Features"). All Integrated Features are provided solely by independent third parties, and any use thereof is undertaken entirely at your own discretion and risk. Quant Aura does not control, audit, or verify the content, outputs, or operational integrity of such third-party elements.

You expressly acknowledge that interaction with Integrated Features may expose you to inaccurate, incomplete, misleading, offensive, or otherwise objectionable content, and you agree that Quant Aura shall bear no liability arising from your decision to access or rely upon such materials.

10.2 Technical, Systemic, and Operational Limitations

To the fullest extent permitted by applicable law, Quant Aura shall not be liable for any loss, damage, or disruption resulting from:

• software defects, system bugs, or platform errors;
• hardware failures or device incompatibility;
• internet, network, hosting, or telecommunications outages;
• server downtime, overload, or maintenance interruptions;
• transmission delays, corrupted data, or delivery failures;
• loss, alteration, or deletion of data or files;
• damage to devices or systems resulting from downloads or Platform access.

Quant Aura further disclaims responsibility for acts, omissions, or failures attributable to third parties, including but not limited to other Users, infrastructure providers, advertisers, payment intermediaries, analytics vendors, or operators of external websites or digital services.

10.3 Exclusion and Cap on Damages

To the maximum extent allowed by law, Quant Aura, together with its affiliates, officers, directors, employees, contractors, and representatives, shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform or Services — even if Quant Aura has been advised of the possibility of such damages.

12.1 Governing Law, Venue, and Dispute Resolution

Your use of the Quant Aura Platform may be subject to mandatory local laws depending on your jurisdiction. Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by the competent courts of your country or region of residence. To the extent permitted by law, you expressly waive any right to participate in class actions, collective lawsuits, representative actions, or group arbitration proceedings against Quant Aura.

12.2 Statute of Limitations

Any claim or cause of action against Quant Aura must be filed within one (1) year from the date on which the claim first arose. Failure to initiate legal proceedings within this period results in permanent waiver and forfeiture of such claim. If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be interpreted or modified to the minimum extent necessary to render it enforceable whilst preserving its original intent. All remaining provisions shall remain in full force and effect.

12.3 Independent Relationship of the Parties

Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, employment, fiduciary, or representative relationship between you and Quant Aura. You have no authority to bind, represent, or make commitments on behalf of Quant Aura under any circumstances. These Terms, together with the Privacy Policy, constitute the entire agreement governing your use of the Platform and supersede all prior or contemporaneous understandings.

12.4 Notices and Electronic Communications

Quant Aura may provide notices, disclosures, policy updates, or other communications using the contact details associated with your account, including via email, in-Platform notifications, or other reasonable electronic means.

By accepting these Terms, you consent to receive legally binding notices and communications electronically and acknowledge that such delivery satisfies any legal notice requirements.

12.5 Assignment and Waiver

You may not assign, transfer, sublicence, or delegate any rights or obligations under these Terms without the prior written consent of Quant Aura. Quant Aura may assign or transfer its rights and obligations freely as part of corporate restructuring, merger, acquisition, or asset transfer. Any failure or delay by Quant Aura to enforce a provision of these Terms shall not constitute a waiver of that provision or any other right. Any waiver granted shall apply solely to the specific instance for which it is provided.
