Terms of Service

1.1 License Grant

Quant Aura grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform strictly in accordance with these Terms and solely for lawful purposes related to the Services. Quant Aura may, at its sole discretion and without obligation to provide advance notice:

• Modify, enhance, or update Platform features or components;
• Restrict access to specific functionalities or services;
• Temporarily suspend or permanently discontinue any part of the Platform.

1.2 Eligibility and Legal Compliance

By using the Platform, you represent and warrant that:

• All information you provide is accurate, complete, and maintained on an ongoing basis;
• You have reached the legal age required to enter into binding agreements in your jurisdiction;
• Your access to and use of the Platform complies with all applicable local, national, and international laws and regulations;
• You are not accessing the Services from a jurisdiction where such access is restricted or prohibited.

1.3 Monitoring and Enforcement

Quant Aura may, but is not obligated to, monitor, review, or investigate Platform activity to assess compliance with these Terms and applicable laws. Failure to identify or act upon a violation does not constitute a waiver of enforcement rights. You remain solely responsible for evaluating information, tools, or offers encountered through the Platform and for any interactions with third parties.

1.4 Suspension and Termination

Quant Aura may restrict, suspend, or terminate your access to the Platform, with or without notice, if:

• These Terms are violated;
• Fraudulent, abusive, or harmful activity is suspected;
• Continued access presents legal, operational, or reputational risk.

Quant Aura shall not be liable for any losses, damages, claims, or disputes arising from such actions.

2.1 Independent Providers

The Quant Aura Platform may display, reference, or provide access to third-party products, services, content, or tools ("Third-Party Providers"). You acknowledge and agree that Quant Aura:

• Does not endorse, verify, or control Third-Party Providers;
• Does not guarantee the legality, accuracy, licensing status, or performance of third-party offerings;
• Is not a party to agreements or transactions between Users and Third-Party Providers.

Engagement with any Third-Party Provider is undertaken at your sole discretion and risk.

2.2 Limitation of Responsibility

You expressly release Quant Aura from liability arising from:

• Reliance on third-party representations or information;
• Financial, technical, or operational losses related to third-party services;
• Disputes, defects, or failures involving external providers.

Quant Aura operates solely as a digital access and infrastructure layer and does not sell, broker, or license third-party products.

3.1 Prohibited Activities

You agree not to engage in any activity that:

• Attempts to reverse engineer, decompile, extract, or replicate Platform components;
• Uses the Services for unlawful, deceptive, abusive, or harmful purposes;
• Circumvents security mechanisms or access controls;
• Deploys bots, automation tools, exploits, or unauthorized scripts;
• Interferes with Platform performance, availability, or infrastructure;
• Accesses accounts, databases, or systems without authorization;
• Collects, processes, or misuses personal data of other Users without lawful consent.

3.2 User-Submitted Content

If you submit, upload, or transmit content through the Platform, you represent and warrant that such content:

• Is lawful, accurate, and not misleading;
• Does not infringe intellectual property, privacy, or contractual rights of others;
• Contains no malware, malicious code, or disruptive elements;
• Complies with applicable advertising, financial, and consumer protection regulations.

3.3 License to Quant Aura

By submitting content, you grant Quant Aura a worldwide, perpetual, royalty-free, non-exclusive license to store, use, reproduce, adapt, and display such content solely for Platform operation, security, and improvement. Quant Aura may remove or restrict access to content at its discretion and without compensation.

3.4 User Responsibility

You remain fully responsible for all content you submit and any consequences arising from it. Quant Aura assumes no liability for user-generated content or disputes resulting from such material.

4.1 Ownership and Reservation of Rights

All intellectual property rights related to the Quant Aura Platform, including but not limited to system design, platform architecture, software code (source and object), algorithms, artificial intelligence models, analytical frameworks, workflows, user interfaces, visual layouts, trade dress, trademarks, service marks, logos, and brand identifiers, are owned exclusively by Quant Aura or its authorized licensors. No provision of these Terms shall be interpreted as granting any User ownership, license by implication, assignment, or transfer of proprietary rights. Any access provided to the Platform constitutes a limited, revocable right of use strictly in accordance with these Terms and does not confer any intellectual property interest. All rights not expressly granted are fully reserved by Quant Aura.

4.2 User-Provided Materials

Any data, content, files, text, or materials submitted, transmitted, or otherwise made available by you through the Platform ("User Materials") remain your sole responsibility. By submitting User Materials, you represent and warrant that:

• You hold all necessary rights, licenses, and legal authority to provide such materials;
• The materials do not infringe or violate copyrights, trademarks, trade secrets, privacy rights, contractual obligations, or other legal rights of any third party.

Quant Aura does not review, verify, or approve User Materials and disclaims all responsibility for legal, regulatory, financial, or commercial consequences arising from their submission or distribution.

4.3 Indemnification for Intellectual Property Claims

You agree to indemnify, defend, and hold harmless Quant Aura, its affiliates, directors, officers, employees, contractors, and partners from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to:

• User Materials submitted or made available by you through the Platform;
• Alleged or actual infringement of intellectual property, contractual, or proprietary rights;
• Any breach of these Terms or applicable laws attributable to your actions.

5.1 Restrictions on Data Extraction and Use

You agree not to collect, harvest, scrape, copy, store, aggregate, or otherwise process any data obtained through the Platform without the prior written authorization of Quant Aura. You acknowledge that Quant Aura may lawfully collect, process, and retain information including, but not limited to:

• Data voluntarily provided by Users;
• Technical and usage information such as system logs, access records, and interaction metrics;
• Publicly available data, where permitted by law;
• Aggregated analytics related to Platform usage, performance, and operational integrity.

5.2 Compliance with Data Protection Standards

All personal data processed by Quant Aura is handled in accordance with applicable data protection laws and the Quant Aura Privacy Policy. Quant Aura does not independently validate User Materials. You remain solely responsible for ensuring that all submitted information is accurate, lawful, and authorized for use and disclosure.

5.3 User Accountability and Indemnification

Quant Aura shall not be responsible for any damages, losses, service interruptions, or claims resulting from your failure to comply with privacy, confidentiality, or data protection obligations. You agree to indemnify Quant Aura against any claims, penalties, or liabilities arising from:

• Improper handling or unauthorized submission of data;
• Disclosure of information without appropriate consent or legal basis;
• Violations of data protection, privacy, or confidentiality laws.

You further acknowledge that the Platform is not intended to function as a secure storage environment for sensitive, confidential, or mission-critical information.

5.4 Data Availability and Exposure

Quant Aura does not guarantee the continuous availability, preservation, accuracy, or integrity of any content submitted to the Platform. Content may be modified, restricted, or removed at any time. You acknowledge that information you provide may become accessible to third parties, potentially resulting in external communications or unsolicited contact, for which Quant Aura bears no responsibility.

7.1 Unauthorized Commercial Exploitation

Except where expressly authorized in advance and in writing by Quant Aura, the Platform may not be used to conduct independent commercial activities, transactions, or business operations outside the intended purpose, technical design, or approved use cases of the Quant Aura Platform. Any attempt to monetize access, resell functionality, sublicense services, mirror Platform features, or otherwise leverage Quant Aura infrastructure for unapproved commercial benefit constitutes a material violation of these Terms and may result in immediate suspension or termination.

7.2 Advertising, Promotion, and Solicitation Restrictions

Users are strictly prohibited from advertising, marketing, promoting, endorsing, or soliciting any of the following through the Platform without Quant Aura's explicit prior written authorization:

• Products or services of any kind;
• Business, trading, or investment opportunities;
• Affiliate, referral, or commission-based programs;
• Employment, recruitment, or staffing offers.

This restriction applies regardless of method, including direct messages, public postings, automated outreach, embedded links, or indirect promotional behavior. Any unauthorized promotional activity shall be deemed a breach of these Terms.

7.3 Unauthorized Contact with Other Users

You may not contact, message, approach, or otherwise engage with other Users for commercial, promotional, recruitment, or solicitation purposes without both:

• The explicit prior consent of the recipient, and
• Authorization consistent with these Terms.

Any unsolicited communication enabled by access to Platform tools, data, visibility, or user identifiers shall be treated as prohibited conduct and may trigger immediate enforcement measures.

9.1 Platform Availability and Risk Acknowledgment

Quant Aura implements commercially reasonable administrative, technical, and security measures to support Platform functionality and system integrity. However, no digital system is free from risk, and disruptions, errors, delays, vulnerabilities, or outages may occur. Your access to and use of the Platform are entirely at your own risk. All Services and Platform components are provided on an "AS IS" and "AS AVAILABLE" basis.

9.2 Disclaimer of Warranties

To the maximum extent permitted by applicable law, Quant Aura expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties regarding:

• Merchantability or fitness for any particular purpose;
• Accuracy, completeness, reliability, or timeliness of information;
• Continuous, uninterrupted, or error-free operation;
• Security, availability, or absence of harmful components;
• Non-infringement of third-party rights.

No statement, representation, guidance, or information—whether oral or written—provided by Quant Aura or its representatives shall be construed as creating any warranty or obligation not expressly stated in these Terms.

9.3 No Advisory or Fiduciary Relationship

Quant Aura does not provide investment, trading, financial, legal, tax, or other professional advisory services. Any data, analytics, indicators, signals, simulations, or informational outputs made available through the Platform are provided solely for technical and informational purposes. All decisions based on such outputs are made independently by you and entirely at your own discretion and risk. Quant Aura assumes no responsibility for any outcomes resulting from such decisions.

9.4 Limitation of Liability

To the fullest extent permitted by applicable law, Quant Aura shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of profits, revenue, business opportunities, or data;
• Service interruptions, system downtime, or operational delays;
• Security incidents, data breaches, or unauthorized access;
• Errors, omissions, or inaccuracies in Platform content;
• Reliance on communications, documentation, or materials provided by Quant Aura;
• Interactions with or reliance upon third-party platforms, services, or providers.

Where applicable law does not permit the exclusion or limitation of certain warranties or liabilities, such exclusions and limitations shall apply only to the maximum extent legally permissible, without affecting the validity or enforceability of the remaining provisions.

10.1 Platform Dependencies and External Components

The Quant Aura Platform may enable access to, reference, or interoperate with third-party technologies, tools, services, APIs, extensions, data sources, or external functionalities that are not owned, operated, or controlled by Quant Aura ("Third-Party Components"). Quant Aura does not warrant, certify, endorse, verify, or assume responsibility for the availability, legality, accuracy, performance, security, or suitability of any Third-Party Components. All such components are provided exclusively by independent third parties, and any interaction with them occurs solely at your own discretion and risk. You acknowledge and agree that Third-Party Components may generate content, data, or outputs that are inaccurate, incomplete, misleading, inappropriate, or otherwise objectionable, and that Quant Aura bears no liability for any consequences arising from your access to or reliance upon such components.

10.2 Technical and Operational Constraints

To the maximum extent permitted by applicable law, Quant Aura shall not be liable for any losses, damages, interruptions, or adverse effects arising from or related to:

• Software defects, logic errors, bugs, or system malfunctions;
• Hardware failures, device incompatibility, or local system limitations;
• Internet, network, hosting, or telecommunications disruptions;
• Server downtime, capacity constraints, maintenance windows, or outages;
• Transmission delays, data corruption, synchronization failures, or delivery issues;
• Loss, modification, or deletion of data, records, or files;
• Damage to devices, systems, or software resulting from Platform access or downloads.

Quant Aura further disclaims responsibility for acts, omissions, failures, or misconduct attributable to third parties, including other users, infrastructure providers, payment intermediaries, advertisers, analytics services, or operators of external platforms.

10.3 Exclusion of Certain Damages

To the fullest extent allowed by law, neither Quant Aura nor its affiliates, officers, directors, employees, contractors, or representatives shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether arising in contract, tort, statute, or otherwise, even if advised of the possibility of such damages.

12.1 Governing Law and Jurisdiction

Your use of the Quant Aura Platform may be subject to mandatory laws applicable in your jurisdiction of residence. Except where prohibited by such mandatory provisions, any dispute, claim, or controversy arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts located in your country or region of residence. To the extent permitted by applicable law, you expressly waive any right to participate in class actions, collective proceedings, representative claims, or group arbitration against Quant Aura.

12.2 Limitation Period

Any claim or cause of action against Quant Aura must be commenced within one (1) year from the date the claim first arose. Claims not initiated within this period shall be permanently barred. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, such provision shall be modified or limited only to the extent necessary to render it enforceable, while preserving its original intent. The remaining provisions shall remain in full force and effect.

12.3 Independent Relationship

Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, fiduciary, employment, or representative relationship between you and Quant Aura. You have no authority to bind, represent, or incur obligations on behalf of Quant Aura under any circumstances. These Terms, together with the Privacy Policy, constitute the entire agreement governing your use of the Platform and supersede all prior or contemporaneous agreements, communications, or understandings.

12.4 Electronic Communications and Notices

Quant Aura may deliver notices, disclosures, policy updates, or other communications using the contact information associated with your account, including email, in-Platform notifications, or other reasonable electronic methods. By using the Platform, you consent to receiving legally binding communications electronically and acknowledge that such electronic delivery satisfies applicable legal notice requirements.

12.5 Assignment and Waivers

You may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms without Quant Aura's prior written consent. Quant Aura may freely assign or transfer these Terms, in whole or in part, in connection with corporate restructuring, merger, acquisition, or asset transfer. Any failure or delay by Quant Aura to enforce any provision shall not constitute a waiver of that provision or any other right. Any waiver shall apply only to the specific instance for which it is granted.
